Same day exchange and completion: what you need to know

Same day exchange and completion, sometimes referred to as simultaneous exchange and completion, can be an effective option in certain property transactions. By completing both stages on the same day, it removes the period between exchange of contracts and completion and can provide a swift and decisive outcome.

However, while this approach may appear straightforward, it carries legal and practical risks which should be carefully considered before proceeding. It is not suitable for every transaction and requires thorough preparation.

What does same day exchange and completion involve?

In a standard residential conveyancing transaction, exchange of contracts creates a legally binding agreement, with completion taking place on a later agreed date. That intervening period allows time for final arrangements to be made and provides certainty for both parties.

With same day exchange and completion, contracts are exchanged and completion takes place immediately afterwards on the same day. There is no contractual commitment until exchange occurs.

Why might parties choose to exchange and complete on the same day?

Same day exchange and completion may be considered where a transaction is relatively straightforward and both parties are ready to proceed without delay.

Potential benefits include:

  • Certainty once exchange has taken place
  • No gap during which circumstances could change
  • Reduced risk of issues arising between exchange and completion, such as property damage
  • A more efficient conclusion to the transaction

This approach can sometimes be attractive where a property is vacant or where parties wish to proceed quickly once all matters have been agreed.

What are the legal risks?

The most significant legal risk is that there is no binding contract until exchange of contracts.

Until exchange takes place, either party can withdraw from the transaction at any stage without legal consequence. If this happens at a late point, the other party will have no legal remedy.

This can lead to financial loss and inconvenience, particularly where arrangements have already been made in anticipation of completion, such as removals, finance arrangements or temporary accommodation.

Insurance considerations

Under the standard conditions of sale, the risk in the property passes to the buyer on exchange of contracts.

Where exchange and completion take place on the same day, it is still essential that the buyer has valid buildings insurance in place from the moment of exchange. Sellers are not generally required to maintain insurance after exchange unless the contract specifically provides otherwise.

This can result in overlapping insurance policies for a short period, which may cause complications if damage occurs.

Additional risks where there is a property chain

Same day exchange and completion can be more complex where a transaction forms part of a chain.

All linked transactions must be coordinated carefully so that exchange and completion occur in the correct order. While solicitors use undertakings and controlled release arrangements to manage this, difficulties can still arise if timings are not aligned.

For example, a party may exchange on a sale without completing a related purchase, or complete a purchase without securing the sale of their existing property. These risks increase as chain length and complexity increase.

Managing the risks

For same day exchange and completion to proceed smoothly, all pre‑contract and pre‑completion steps must be completed in advance.

Clients should ensure that:

  • Funds are available and can be released without delay
  • Any mortgage finance has been formally approved and is ready to be drawn down
  • Buildings insurance is in place from exchange
  • They are satisfied with the condition of the property

From a legal perspective, all enquiries, title investigations, documentation and completion arrangements must be finalised before exchange takes place. Where a transaction forms part of a chain, close coordination with other solicitors is essential.

Is same day exchange and completion appropriate?

Same day exchange and completion may work well in straightforward transactions but is not suitable in every case. It may not be appropriate where there are unresolved issues, a long or uncertain chain, or where funding arrangements are complex.
